General Terms of Use for the Application

These terms and conditions (hereinafter referred to simply as "Terms") apply to your use of Our Application, "Ecomilhas."

Our Application, "Ecomilhas," is maintained by ECOMILHAS TECNOLOGIA LTDA ("ECOMILHAS"), CNPJ No. 46.740.714/0001-37, email: contato@ecomilhas.me, headquartered at: Alameda Vicente Pinzon, No. 54, Vila Olímpia, ZIP: 04547-130, São Paulo/SP, Brazil.

By registering on the "Ecomilhas" Application or otherwise using it, you agree to these Terms. If you do not agree with these Terms, you should not use the "Ecomilhas" Application or access any Content.

TERMS AND NOMENCLATURE

"We," "Our": Reference to the Ecomilhas Application or the ECOMILHAS Company.

"Ecomilhas Application," "Application," or simply "Ecomilhas": The Ecomilhas Application.

ECOMILHAS: Refers to the company ECOMILHAS TECNOLOGIA LTDA.

ecomilhas: the currency used to exchange for discounts or cash within the Application.

Trip(s): routes traveled by users and mapped by the Application.

Redemption(s): cash payments or discount redemptions made by the user.

Payment Wallet or Wallet: the location where all redemptions made by the user are consolidated.

Green Card: ECOMILHAS's paid subscription.

Mode: means of transportation.

APPLICATION USE CONDITIONS

Only individuals aged 18 or older (or the equivalent minimum age in your country of origin) may register on Our Application.

Additionally, you must have the legal capacity to enter into a binding contract with us and must not be prevented from doing so by any applicable law.

The "Ecomilhas" Application must also be available for use at your location or address.

Failure to comply with any of the above age or eligibility requirements means ECOMILHAS cannot register you as a user, and any registration made outside these established rules shall be void.

SERVICES PROVIDED BY US

General Service Provisions

We offer two categories of services to users: Ecomilhas for Discounts (Freemium or free) and Ecomilhas for Cash (paid Green Card Subscription).

Regardless of the service chosen by the user, the premise is the same: you, as a user, complete trips using the transportation modes accepted by the Application and earn ecomilhas — a type of currency — for the kilometers traveled. These ecomilhas, depending on the service chosen, can be exchanged for discounts at partner stores or for cash.

By using the Application, regardless of the service chosen, you are subject to all trip approval and rejection conditions, ecomilhas values per kilometer traveled, available transportation mode options in the Application, and all other business rules set forth in these Terms of Use and other related documentation provided by ECOMILHAS.

Below is an algorithm table that guides users regarding the approval or rejection of their trips, containing all transportation modes accepted by the Application, subject to restrictions on modes available only to enterprise users:

Trip rejection will occur whenever any one of the three criteria is exceeded by more than 100%, with the second criterion also being triggered when exceeded by more than 50% of the values defined by the algorithms.

There may also be technical issues that interfere with submission or prevent trip approval. In any case, if it is not possible to validate a trip completed by the user due to a nonexistent route or total or partial deviation from the course, the trip cannot be approved, in which case ECOMILHAS shall be exempt from any liability, once the nonexistence or deviation of the route is proven.

Ecomilhas for Discounts

We offer two categories of services to users. The first is provided free of charge and is known as "Ecomilhas for Discounts." Under this service, once ecomilhas are accumulated through trip submissions, the user may exchange them for discounts on products at our partner stores.

We are not responsible for the delivery of the discount or its fulfillment with the partner store. The rules for using the discount are established by the third-party store itself and must be followed by the user to avoid losing the benefit.

We are also not responsible for the quality or quantity of products and services offered by partner stores; it is entirely their responsibility to deliver what was offered to the user. Likewise, it is the user's responsibility to use the benefit within the time limits specified by the partner store.

Green Card Subscription or Ecomilhas for Cash

The second service offered is paid and known as "Green Card." Under this plan, the user pays an annual fee and gains access to "Ecomilhas for Cash" exchanges. Once ecomilhas are accumulated through trip submissions, the user may exchange them for cash (via PIX transfers), according to the conditions specified below:

Only one redemption per day is permitted.

PIX transfers are processed on the 10th of each monthly period, with up to 5 business days for bank settlement. The user's PIX key must be correctly registered in Our Application and with a banking institution.

Available Redemption Values

The values available for redemption depend on ECOMILHAS's partnerships with companies that have carbon emission neutralization or reduction policies. ECOMILHAS reserves the right to make these exchange options available according to its negotiations and shall not be held liable for any unavailability of redemption options under any circumstances.

Wallet Closing

The wallet closes at midnight on the 10th of each monthly period, meaning that any redemptions made after this time on that date will only be transferred in the next monthly period.

Trials

Occasionally, We may offer a trial of the Green Card subscription at no cost or at a reduced rate. In this case, you agree to all conditions offered at the time the trial is granted, including the maximum trial duration, which under no circumstances may exceed one year of Green Card.

Value of Ecomilhas

The value of each ecomilha, which is the exchange currency available in Our Application, is variable and depends on carbon credit trading rates in the market. Currently, in the shop, one ecomilha is worth approximately 10 cents on average.

For each transportation mode, a different number of kilometers is required to earn 1 (one) ecomilha. When values change, users are notified.

The values above are rounded and may vary slightly from month to month. ECOMILHAS is not responsible for fluctuations in the value of ecomilhas and retains full discretion in setting the price in BRL of the ecomilha currency, provided that users are notified of each change.

Green Card – Enterprise Subscription

Users may have their "Green Card" service paid for by their employer or a partner company. In this case, We are not responsible for users who are part of such companies but have not been granted the benefit. Any such situation must be handled directly between the User and their contracting or partner company.

The company that holds a Green Card contract with Ecomilhas is responsible for releasing the list of users who should receive the Green Card Subscription benefit.

Any contract termination or breach with the company may result in the loss of the Green Card benefit for users linked to that company.

USER'S USE OF THE APPLICATION

User Registration

To complete registration, the User must provide all required data in full. All information provided by the User must be accurate, truthful, and up to date so that we can, above all, stay in contact with you whenever necessary. In any case, the User may be held civilly and criminally liable for the truthfulness, accuracy, and authenticity of the information provided.

The user will provide their First Name, Last Name, Email, CPF (Brazilian tax ID), and Password to register on the Application.

The user may register on the Application through Social Login with the following platforms: Strava, Google, Apple, and Facebook. ECOMILHAS does not guarantee that third-party applications and devices will be compatible with Our Application.

The User must provide a valid email address through which all communications will be conducted. All communications sent to said address will be considered read by the user, who thus commits to regularly checking received messages and responding to them, if necessary, within a reasonable timeframe.

Upon confirmation of registration, the user will have a personal login and password, which must be used to access their account in the Application. This information must not be shared with third parties by the User, who assumes full responsibility for any use made of it. The user must immediately notify Us if they suspect any suspicious or unexpected activity on their account.

It is not permitted to assign, sell, rent, or transfer a User account in any way, as it is personal and non-transferable.

Whenever registration data is outdated, the User must update it using the data editing tools available on the Profile screen.

Each User may maintain only one account on Our Application.

Any User who violates any of the rules contained in this instrument will have their account(s) suspended and will be notified to provide justification. If no justification is provided within the designated timeframe or if the justification is not accepted, their registration will be deleted. In the case of duplicate accounts, the account without a Green Card subscription — or, if neither or both have a subscription, the account with the lower ecomilhas balance — will be deleted. If the ecomilhas balance is identical, the more recent account will be deleted.

Account Cancellation or Deletion

The user may, at any time and without need for justification, request the cancellation of their registration on the Application. Removal from the platform will be carried out as quickly as possible.

Whether in the case of a registration cancellation request or deletion due to non-compliance with the rules set forth herein, the User's personal data will be processed in accordance with our Privacy Policy.

Payments and Green Card Cancellation

ECOMILHAS may occasionally change the price of the Green Card Subscription and will communicate any price changes to you in advance with reasonable prior notice. Price changes will take effect at the beginning of the next subscription period following the date of the price change. Under applicable law, by continuing to use the Ecomilhas app after the price change takes effect, you will have accepted the new price. If you do not agree with a price change, you may reject it by canceling the applicable paid Subscription before the price change takes effect.

Your payment to Ecomilhas for use of the Green Card will be valid for a period of one year from the date of your subscription and will automatically expire at the end of the term, without automatic renewal.

If during the use of Green Card benefits you choose to cancel the subscription, you acknowledge that no amount paid or to be charged through any installment payment option will be refunded or canceled, as the payment is Annual, not Monthly.

Additional User Obligations

The User must use the Application's functionalities for purposes that do not violate the law, morality, or good customs. Specifically, the User must limit their use to the purposes for which the functionalities were created.

The User may not use crawlers, bots, or any automated computer programs, algorithms, equipment, or methodologies to access, copy, read, monitor, browse, fill out forms, or publish content on the Application.

The User may not use any automated or manual means or tools to access any content or information that has not been intentionally made available by Us, including information contained in sections of Our Application and information stored in or transmitted through the IT infrastructure used by Us, which includes equipment, networks, and servers.

The User may not violate or test the vulnerabilities of the Application's security mechanisms or the IT infrastructure used by Us.

The User may not use any content or information available on Our Application for the purpose of identifying other Users or other persons, unless the content or information has been lawfully disclosed for this purpose.

The User may not overload the IT infrastructure that maintains the Application with an excessive or unreasonable number of requests.

The User may not conceal their identity or the origin of their connection, nor impersonate another person. In this regard, among other possible violations, the User may not use any tools or mechanisms to manipulate or mask the origin of any message sent to Us or to Our IT infrastructure through Our Application or any of its functionalities.

Registered Users are responsible for any use made of their user accounts and must ensure that their access credentials (login and password) are not shared with third parties.

The User is responsible for ensuring the security of the electronic equipment and systems used to access the Application.

The User will be responsible for any content or information they may publish on Our Application.

The inclusion of pages that disseminate any type of illegal, violent, controversial, pornographic, xenophobic, discriminatory, or offensive information will not be authorized.

OUR RIGHTS AND OBLIGATIONS

Limitation, Interruption, or Suspension of the Application

We are committed to using all technical solutions at our disposal to ensure the Application can be accessed 24 hours a day, every day. However, We may, at any time, interrupt, limit, or suspend access to the Application or some of its pages or features in order to perform updates, modifications, corrections, or any other action we deem necessary to ensure the proper functioning of the Application.

For proper management, We may, at any time:

Suspend, interrupt, or limit access to all or part of the Application for a specific category or all Users;

Remove any information that may disrupt the Application's operation or that conflicts with Brazilian or international law;

Suspend the Application in order to perform updates and modifications.

External Links

Our Application may contain external links that redirect the User to other internet pages over which We have no control.

Despite the prior and regular verifications we perform, We disclaim any liability for the content found on pages and applications that may be accessed through these links.

Our Duties and Responsibilities

Although We adopt everything within Our reach to keep Our Application in full and correct operation, We shall be liable for defects or flaws found in the computer program that comprises Our Application that were caused by Us, provided there is proven damage.

Defects or problems arising from or as a result of the systems or equipment used by the User to access and use Our Application shall not be Our responsibility.

We are also liable, within the limits and terms of the law, for Our Content. However, We do not assume any responsibility for Third-Party Content.

We are not responsible for the uses that Users make of Our Application; they are personally and exclusively liable for their own actions.

We shall not be liable for any damages resulting from force majeure, acts of God, or those resulting from the actions of third parties.

Intellectual Property Rights over Computer Programs and Our Content

The computer programs that comprise the Application and Our Content available on the Application are Our property, unless We expressly state otherwise.

Our computer programs and Our Content that are protected by copyright may not be, in whole or in part, copied, reproduced, represented, adapted, or in any way altered, by any means and for any purpose, without Our prior, express, written authorization. In the event of violations of Our intellectual property rights, We reserve the right to take all appropriate judicial and extrajudicial measures.

Access to the Application does not grant the User any intellectual property rights related to elements of the Application.

PERSONAL DATA PROTECTION

We process Users' personal data in compliance with Federal Law No. 13,709/2018 (General Data Protection Law) and other applicable related regulations. More information on this subject can be found in our Privacy Policy.

In said Policy, we identify the personal data we process and provide information about how, why, and on what legal basis we do so, as well as about how Users can exercise their rights related to the protection of their personal data and how they can contact our Data Protection Officer.

Requests for amendment, correction, or deletion of personal data should be directed to Us in accordance with the provisions of that Policy.

For questions, suggestions, or problems with the use of the Application, the User may contact Our support service directly via email at: contato@ecomilhas.me or via WhatsApp at: +55 19 996496618. These User support services are available on the following days and hours: Monday through Friday, from 9 AM to 6 PM;

The User may also choose to send correspondence to the Application's headquarters address, provided at the beginning of this document.

SANCTIONS

Without prejudice to other applicable legal measures, We may, at any time, warn, suspend, and cancel the User's account:

Who fails to comply with any of the provisions contained in this instrument;

Who fails to fulfill their duties as a User;

Who commits fraudulent, illegal, or immoral acts;

Who provides any incorrect information;

Whose behavior constitutes or may result in offense or damage to a third party or to the Application itself.

AMENDMENTS

This version of the general terms and conditions of use was last updated in June 2023.

We reserve the right to modify, at any time, the application and services, as well as these rules, especially to adapt them to the Application's evolution, whether through the availability of new features or the removal or modification of existing ones.

The User will be explicitly notified in the event of changes to these terms by the Application itself, and may only continue using it by agreeing to the new version.

Para a solução das controvérsias decorrentes do presente instrumento, será aplicado integralmente o Direito brasileiro.

Os eventuais litígios deverão ser apresentados em um dos foros da comarca de São Paulo/SP.
